    1. Introduction

    These Terms of Service ("Terms") govern your use of Amptomic (the "Service"), a product owned and operated by Bearworks LTD ("we", "our", or "us"), a company registered in England and Wales.

    By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

    2. Eligibility

    You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

    3. Account Registration

    To use certain features, you must create an account. You agree to:

    • Provide accurate, current, and complete information
    • Keep your password secure and confidential
    • Accept responsibility for all activities under your account
    • Notify us immediately of any unauthorised use

    We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

    4. Subscriptions and Payments

    Access to certain features requires a paid subscription. Details are available on our Pricing page.

    • Subscriptions are billed in advance on a monthly or annual basis
    • Subscriptions automatically renew unless cancelled before the end of the current billing period
    • We offer a 14-day money-back guarantee for new subscriptions
    • Prices are quoted in GBP unless otherwise stated and are exclusive of VAT where applicable
    • We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honoured until the end of the current billing period

    4.1 Cancellation and Refunds

    You may cancel your subscription at any time from your account Settings. Upon cancellation:

    • You will retain access to paid features until the end of your current billing period
    • No partial refunds will be issued for unused portions of a billing period (except within the 14-day money-back guarantee)
    • Your data will be retained for 30 days after your subscription ends, after which it may be permanently deleted

    4.2 Free Trial

    We may offer a free trial period at our discretion. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled. We will notify you before the trial ends.

    5. Acceptable Use

    You agree not to use the Service to:

    • Violate any applicable law, regulation, or third-party rights
    • Upload, transmit, or distribute malicious code, viruses, or harmful data
    • Attempt to gain unauthorised access to any part of the Service or its infrastructure
    • Use the Service to generate spam, misleading content, or content that infringes intellectual property rights
    • Reverse engineer, decompile, or disassemble any part of the Service
    • Resell, sublicense, or redistribute access to the Service without our written consent
    • Use automated tools (bots, scrapers) to access the Service except through our published APIs
    • Impersonate another person or entity

    We reserve the right to suspend or terminate your access if you breach these acceptable use requirements.

    6. Intellectual Property

    The Service, including its software, design, logos, and documentation, is owned by Bearworks LTD and protected by copyright, trademark, and other intellectual property laws.

    6.1 Your Content

    You retain ownership of all content you submit to the Service ("User Content"). Content generated by our AI tools based on your inputs is owned by you. By submitting User Content, you grant us a limited, non-exclusive licence to process, store, and display it as necessary to provide the Service.

    6.2 Feedback

    If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable licence to use that feedback for any purpose without obligation to you.

    7. Third-Party Integrations

    The Service integrates with third-party platforms including Google Analytics and Google Search Console via OAuth authentication.

    • By connecting a third-party account, you authorise Amptomic to access your data on your behalf with read-only permissions
    • You are responsible for ensuring you have the authority to grant access to the connected accounts
    • Amptomic is not responsible for the accuracy, completeness, or availability of data obtained from third-party services
    • You may revoke access at any time via your Amptomic Settings page or via your Google Account permissions
    • Your use of data obtained through Google APIs is also subject to Google's Terms of Service

    We are not liable for any loss or damage caused by third-party services, including service outages, data inaccuracies, or changes to their APIs or terms.

    8. AI-Generated Content

    The Service uses artificial intelligence to generate content, recommendations, and insights. You acknowledge and agree that:

    • AI-generated content is provided as suggestions and should be reviewed before publication
    • We do not guarantee the accuracy, completeness, or suitability of AI-generated content
    • You are solely responsible for reviewing, editing, and publishing any AI-generated content
    • AI outputs may occasionally contain errors, biases, or inaccuracies
    • You must ensure that any content you publish complies with applicable laws and does not infringe third-party rights

    9. Service Availability

    We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

    • Scheduled maintenance (we will endeavour to provide advance notice)
    • Emergency maintenance or security updates
    • Circumstances beyond our reasonable control (force majeure)

    We shall not be liable for any loss or damage resulting from service interruptions.

    10. Data Protection

    We process personal data in accordance with our Privacy Policy and UK data protection laws. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

    Where you submit personal data of third parties (e.g. contacts for outreach), you warrant that you have a lawful basis to share that data with us and that you have provided appropriate notices to those individuals.

    11. Disclaimers and Warranties

    The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law:

    • We make no warranties, express or implied, regarding the Service, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement
    • We do not warrant that the Service will meet your specific requirements
    • We do not warrant that SEO recommendations, keyword data, or analytics will produce specific results
    • We do not warrant that third-party data (including search engine rankings, traffic metrics, or competitor analysis) is accurate or complete

    Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

    12. Limitation of Liability

    To the maximum extent permitted by applicable law:

    • Our total aggregate liability arising out of or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim
    • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill
    • We shall not be liable for any loss arising from your reliance on AI-generated content, SEO recommendations, or third-party data obtained through the Service

    13. Indemnification

    You agree to indemnify, defend, and hold harmless Bearworks LTD, its directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

    • Your use of the Service
    • Your violation of these Terms
    • Your violation of any third-party rights
    • Content you publish or distribute using the Service
    • Your unauthorised use of third-party integrations or data

    14. Termination

    Either party may terminate this agreement:

    • By you: You may close your account at any time via Settings or by contacting us
    • By us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law
    • For convenience: We may discontinue the Service with 90 days' notice, during which you may export your data

    Upon termination:

    • Your right to use the Service ceases immediately
    • We will retain your data for 30 days to allow for data export, after which it may be permanently deleted
    • Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall continue in effect

    15. Modifications to Terms

    We may update these Terms from time to time. We will notify you of material changes by:

    • Updating the "Last updated" date at the top of this page
    • Sending an email notification for changes that materially affect your rights or obligations
    • Displaying a notice within the Service

    Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.

    16. Force Majeure

    We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government actions, power failures, internet or telecommunications failures, or cyberattacks.

    17. Severability

    If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

    18. Entire Agreement

    These Terms, together with our Privacy Policy, Cookie Policy, and GDPR Compliance page, constitute the entire agreement between you and Bearworks LTD regarding the Service. They supersede all prior agreements, representations, and understandings.

    19. Governing Law

    These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    If you are a consumer, you may also have rights under the laws of the country in which you reside, and nothing in these Terms affects those statutory rights.
